Commercial rights are not granted by repository access, source-code visibility, cloning, forking, downloading, package installation, academic use, public-interest use, or any other noncommercial permission.

This repository is source-available. It is not released as open-source software. Any commercial use requires a separate written agreement with KNOWDYN.

## 1. Commercial License Required

A separate written commercial license from KNOWDYN is required before any person or organization may use this software, documentation, model structure, scenario schema, outputs, derivative works, or related materials for commercial purposes.

Commercial use includes direct commercial exploitation, indirect commercial benefit, internal enterprise use, client-facing use, hosted use, paid advisory use, or integration into any commercial workflow, product, service, or deliverable.

## 2. Uses Requiring Commercial Permission

The following uses require a separate written commercial license from KNOWDYN:

- paid consulting, advisory, research, analytics, or technical-review delivery;
- enterprise internal deployment or internal business analysis;
- use in procurement, permitting, financing, investment, insurance, valuation, site-selection, market-intelligence, infrastructure-planning, commercial due-diligence, or regulatory-submission workflows;
- integration into commercial software, dashboards, data products, hosted systems, APIs, decision platforms, workflow tools, or reporting platforms;
- operation as a hosted service, managed service, software-as-a-service product, internal API, or external API;
- use in paid reports, client deliverables, commercial presentations, commercial training, subscription products, or proprietary knowledge products;
- resale, sublicensing, relicensing, redistribution for commercial advantage, or bundling with a commercial product or service;
- modification or extension for commercial strategy, business development, lobbying, acquisition analysis, portfolio analysis, project finance, or customer delivery;
- use by or on behalf of a commercial entity when the use is intended to support business, financial, operational, legal, procurement, regulatory, engineering, or investment decisions.

## 3. No Implied Commercial Rights

No commercial license is implied by:

- public availability of the repository;
- GitHub visibility, stars, forks, issues, or pull requests;
- package installation from any registry;
- source-code access;
- academic or public-interest permission;
- receipt of model outputs, examples, notebooks, scenarios, or documentation;
- contribution to the repository;
- automated access by a coding assistant or software agent.

Commercial rights exist only if granted in a separate written agreement signed or otherwise formally authorized by KNOWDYN.

## 4. Commercial Agreement Scope

A commercial agreement may define, among other terms:

- permitted field of use;
- permitted users, teams, entities, clients, and territories;
- deployment scope and environment;
- source-code, model, documentation, and output rights;
- confidentiality and data-handling obligations;
- attribution and non-affiliation requirements;
- support, maintenance, and update terms;
- audit, compliance, and reporting rights;
- fees, duration, renewal, suspension, and termination;
- warranty, indemnity, and liability terms, if any.

No such terms are granted by default.

## 5. Preservation of Notices

Commercial licensees must preserve all notices required by their written agreement, including any applicable:

- copyright notices;
- attribution notices;
- source-available status notices;
- academic/commercial license notices;
- non-affiliation notices;
- restricted-source and confidential-source exclusion notices;
- evidence-status, assumption-boundary, and scenario-dependence notices;
- notices stating that outputs are analytical estimates and not verified Terafab operating facts.

## 6. Restricted and Confidential Sources

This repository does not license restricted, confidential, private, proprietary, or unpublished project-source material unless such material is expressly included in a written commercial agreement by KNOWDYN.

No commercial licensee may import, reconstruct, infer, solicit, scrape, or inject restricted project-source material into the public package unless separately authorized in writing.

## 7. No Affiliation and No Official Terafab Status

This repository is an independent KNOWDYN work. It is not affiliated with, endorsed by, authorized by, sponsored by, or connected to Terafab or its employees unless expressly stated in writing by the relevant official entity.

References to Terafab, Tesla, SpaceX, xAI, Intel, or any other organization are for analytical, descriptive, or scenario-context purposes only. They do not imply access to verified internal data, official project participation, endorsement, or certification.

## 8. No Warranty and No Reliance

Unless a separate written commercial agreement expressly states otherwise, the software and documentation are provided "as is" and "as available," without warranty of any kind, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, or reliability.

Outputs are scenario-dependent analytical estimates derived from assumptions, model structure, and available public or user-supplied inputs. They must not be relied upon as verified operating facts, engineering certifications, investment recommendations, legal conclusions, procurement instructions, permitting determinations, or public-agency findings.

Commercial users are responsible for independently validating assumptions, data, methods, and conclusions before relying on any result.

## 9. Academic and Public-Interest Use

Noncommercial academic, educational, public-interest, technical-review, and policy-analysis uses may be permitted under the separate [Academic License](ACADEMIC_LICENSE.md), subject to its terms.
